Social Finance VCT PLC
We advised Social Finance, an organisation that develops financial products to support social organisations in relation to the development and launch of the Social Impact VCT plc, a vehicle to raise monies for onward investment in social enterprises and socially-motivated businesses.
My Time CIC
We helped My Time re-structure their share capital to help them take a £200,000 investment from Big Issue Invest, including liaising with the funder’s lawyers, revising My Time’s articles, and making sure the interests of users shareholders were protected.
Keswick Community Housing Trust (KCHT)
We assisted KCHT in raising £1.3m funding to build affordable housing. After grant funding and loan finance fell short, we helped them revise their rules to allow them to make a community share offer and reviewed their prospectus. The resulting community share offer helped them reach their funding target, achieving a genuine social investment in the future of the town.
Thera Trust
We advised Thera Trust, a charity supporting adults with learning disabilities, on the legal aspects of their debut social investment bond—the first to be implemented by Investing for Good. This included advising on the Social Loan Agreement and other associated documentation.
London Missional Housing Bond
We supported a group of charities in East London raising money from faith groups to secure key worker accommodation. We drafted the partnership documentation between the organisations and reviewed the investment documentation. The first bond was successful and the partners are now looking to raise a further £2m.
Who Made Your Pants?
We worked with this innovative co-operative to help them raise investment funding to expand their business. We supported them on the documents and made sure they were doing what they needed to; as a result they were able to raise over £100,000 to grow their business and make more wonderful pants!

David leads our legal work for social businesses, including significant work for co-operatives, community organisations (including leading umbrella body Locality) and social enterprises. He is a national specialist in community asset transfer and the community right to bid, contributing to Locality’s authorship of the recent Arts Council England report on the community management of libraries. He advises on partnerships and consortia arrangements for social businesses, and led our work on the London Missional Housing Bond partnership.
Mark has over 25 years’ experience of advising on relationships between the public, private and not-for-profit sectors.He is a leading expert in sustainable procurement and uses his specialist knowledge in local government law and commercial law to position social value in the delivery of public services. Mark covers corporate structures, procurement, state aid and innovative collaboration arrangements and has experience of a wide range of services in the public sector. He is company secretary to Collaborate I CIC the leading do-tank in collaboration in public services.
Richard advises clients in the housing, local government, social business and health and social care sectors on all aspects of procurement and commissioning with an emphasis on energy, construction and social care. His work includes community regeneration and redevelopment, joint venture structures with multi-party and European funding and advising on flexible approaches to care commissioning. He has advised in connection with procurement of smart grids and renewables technology together with large scale retrofit to reduce fuel poverty.
Sarah is a partner in our social business team and has extensive experience of negotiating and drafting detailed contractual and governance documentation, providing and facilitating training sessions and away-days, presenting for individual clients and at national sector conferences. Sarah often ‘project manages’ matters where a number of issues are on-going at any one time for her clients and has provided detailed advice and support to officers and Board members. She regularly works with registered housing providers, tenant management organisations, community-led organisations, social enterprises, co-operatives, charities, local authority officers and central government.
