Never has the need for good governance been so great – Simon Dow, Interim Chair, Regulator of Social Housing (RSH) – 30 September 2019

Good governance is the cornerstone of a good business. 2019 has seen a continued sharp focus from the RSH on how registered providers (RPs) are governed well to ensure that social housing assets and tenants are protected. The sector has seen a number of governance downgrades over the last twelve months, with issues emerging about whether unregistered group parents allow for appropriate controls to be exercised across RP group structures, RPs criticised for “propping up” failing commercial subsidiaries, whether there is appropriate understanding of how risk flows within group structures and how conflicts of interest are managed.

The Value for Money Standard also places an emphasis on the need to consider whether alternative commercial, organisational and delivery structures would provide greater value for money gains.

Why should I attend this session?

During this interactive session, we will look at what good governance looks like in high-performing RP group structures, including issues such as:

  • Common group structure models and some of their pitfalls;
  • Unregistered parent group structures;
  • The legal and constitutional relationships that support strong group structures;
  • Charity law requirements around the Charity Commission’s recent guidance on charities’ connections with non-charitable organisations;
  • Dealing with conflicts of interest in group structures;
  • Understanding and managing risk flow in group structures, particularly relating to diversified activities; and
  • Lessons to be learnt from recent sector downgrades.

  • Angela Lomax and Sam McGrady, of David Tolson Partnership (DTP), who have significant experience in advising RPs on regulatory and governance issues, including IDA preparation, governance reviews and group restructures;
  • Rachel Challinor, Director of Governance and Performance at Longhurst Group; and
  • Marcus Evans, Director of Governance and Compliance at Sovini Group.
