I am actively engaged in all aspects of shareholder and member relations, corporate restructuring and forward-planning work to enable clients to manage their group structures and make arrangements on a pre-emptive basis. I also advise on commercial matters, with significant experience in the automotive and information technology sectors.
Some of my recent work has included: reorganising a business to separate the constituent business streams and to tax-efficiently extract certain operations out of the group in preparation for disposal; a demerger using section 110 of the Insolvency Act 1986; a management buyout with detailed post-completion earn outs; and co-ordinating legal teams on a cross-border merger.
