What was our brief?
Our client is a FTSE 250 listed company with an international presence and reputation in the aerospace industry. Having relied on Local Area Networks in the past, our clients chose a provider for a Wide Area Network (“WAN”) system. This was a new arrangement for the business and would be implemented in over 30 business units across the world. We were instructed to put the proposals contained in the tender into action.
What did we do?
We negotiated and agreed a three year contract, worth in the region of $6 million for the roll out and running of the network. The timescale was tight and negotiations intense. Throughout, we made sure the “legal” provisions were in synch with all operational and practical dimensions for the client.
What were the results?
We managed to achieve an agreement that reflected the specific needs of the client and its relatively complex business model. This ensured the most appropriate balance between the autonomy of individual business entities with ultimate control by the parent company. Similarly we needed to ensure the minimum exposure to risk to the client. Particular commercial wins were in capping liability, obtaining an exit route with significantly reduced and tiered early termination charges, agreeing a range of additional services at no charge during the implementation stage and increased SLA credits.

We assisted the smooth processing of the transaction by gaining a thorough understanding of the specific technical features of the project, through experience of the sector and by applying our underlying knowledge of the client’s needs and business model.
