Funding
We have considerable experience of advising organisations (particularly, but by no means limited to, social housing and charitable bodies) on the legal aspects of borrowing, and of grant arrangements.
Our funding lawyers have many years of specialised experience in these areas, as well as extensive experience of commercial property deals, share and business sales and business contracts generally.
We have a full-time social housing finance team, whose work includes:
- negotiation and completion of loan and security documentation (including security trustee arrangements) on facilities from private sector lenders, both for new funding arrangements and for increased financing;
- drawdowns against new security, involving between three and a thousand or more titles;
- on-lending;
- the establishment, and revision, of hedging master agreements in the ISDA Master Agreement and negotiated bespoke Schedule; and
- advice on the funding aspects of other projects on which we are instructed (particularly PFI and innovative schemes).
Since the start of 2006 we have completed more than fifteen major facility agreement deals for housing associations, for new facilities or increases in existing facilities, with new monies averaging more than £45 million per deal.
We have developed a bespoke property deeds database which allows re-financing, further loans and charges with the minimum of additional work.
We have advised a number of housing associations on group structures formed to secure group borrowing, including group structures based on step-in arrangements.
